Designated agent and safe harbor

Spero respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). As a service provider that hosts content submitted by users — including product reviews — we qualify for the DMCA's safe-harbor protections, which require us to respond promptly to valid notices of claimed infringement.

If you believe that material available through our website infringes your copyright, please send a notice to our Designated Agent containing the information described in the Takedown Procedure below.

Notice and takedown procedure

To submit a notice of claimed copyright infringement, you must provide our Designated Agent with a written communication that includes substantially the following:

1. A physical or electronic signature of the person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed;
2. Identification of the copyrighted work claimed to have been infringed, or, if multiple works are covered by a single notification, a representative list of such works;
3. Identification of the material that is claimed to be infringing and that is to be removed, with information reasonably sufficient to permit us to locate it (such as the URL);
4. Information reasonably sufficient to permit us to contact you, such as your address, telephone number, and email address;
5. A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.

Upon receiving a valid notice, we will expeditiously remove or disable access to the allegedly infringing material and take reasonable steps to notify the user who posted it. Please note that under 17 U.S.C. §512(f), any person who knowingly materially misrepresents that material is infringing may be liable for damages.

Counter-notification procedure

If you believe that material you posted was removed or disabled by mistake or misidentification, you may submit a counter-notification to our Designated Agent. Your counter-notification must include substantially the following:

1. Your physical or electronic signature;
2. Identification of the material that was removed or disabled and the location at which it appeared before it was removed or disabled;
3. A statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification; and
4. Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or, if your address is outside the United States, any judicial district in which Spero may be found), and that you will accept service of process from the person who provided the original takedown notice or that person's agent.

Upon receipt of a valid counter-notification, we will forward it to the original complaining party. If that party does not notify us within ten (10) business days that it has filed a court action seeking to restrain the allegedly infringing activity, we may restore the removed material in our discretion, generally within ten (10) to fourteen (14) business days after receiving your counter-notification.

Repeat infringer policy

It is the policy of Spero to terminate, in appropriate circumstances and at our discretion, the accounts of users who are determined to be repeat infringers. A repeat infringer is a user who has been the subject of more than one valid notice of claimed copyright infringement, or who has repeatedly posted material that infringes the intellectual property rights of others.

We may also, at our discretion, limit access to our website or terminate the accounts of any users who infringe the intellectual property rights of others, whether or not there is any repeat infringement. We maintain records of takedown notices and account actions to support reasonable implementation of this policy.
